That's interesting, G, because contract law (which I assume is similar enough in the UK to what we see in the US) involves a concept dubbed "consideration." Briefly, consideration is what both parties bring to the agreement. Absent consideration, we're looking only at a promise, which courts tend not to enforce. So, that the management dude got his 5% for "nothing" is not precisely true. Presumably--the actual historical circumstances could negate this presumption--the band agreed to pay (their consideration) him the 5% for any management services he provided (his consideration) even when he was no longer their manager.

Folks who sign onto agreements with unfavorable terms are often disgruntled when those agreements play out against them. I don't know the details at all of the Yes anecdote, but if they knew what they were signing, then they got what they bargained for.

I think it not infrequently happened with unsigned groups that they were so overjoyed at getting signed by real management, and so unsophisticated about contracts and business stuff, that they just signed what was put in front of them, and then found out later on that the s--- had hit the fan.
